1. Acceptance of These Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Circuit CE, LLC ("Circuit CE," "Company," "we," or "us"), a Wyoming limited‑liability company, governing your access to and use of the Circuit CE website (www.circuitce.com), mobile applications, conference portals, and any related content, functionality, products, and services (collectively, the "Service"). By accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy (incorporated herein by reference). If you do not agree, do not access or use the Service.
2. Description of the Service
Circuit CE provides professionally reviewed continuing‑education (CE) courses for medical doctors, nurses, physician assistants, and other professionals (collectively, "Participants"). Courses are delivered via streaming media. Participants must attest to being in the designated destination city at login to access session content. Sessions are offered in 15‑minute intervals and presented via artificial‑intelligence (AI) avatars; all instructional content is reviewed and approved by licensed physicians whose names and credentials are displayed with each session. Certificates of completion are issued after a course evaluation is submitted.
2.1 CME Credits and Accreditation Status
Circuit CE courses currently offer Continuing Medical Education (CME) credits. Circuit CE is not yet accredited by the Accreditation Council for Continuing Medical Education (ACCME) but is actively pursuing accreditation; credits may not be acceptable for all state licensing boards or specialties until accreditation is achieved.
We make no guarantee that any credit or certificate will satisfy a particular jurisdiction’s licensure, certification, or specialty requirements. You are solely responsible for confirming acceptance of credits with your licensing or certifying body before relying on them.
3. Eligibility & Account Registration
To use the Service, you must (a) be at least 18 years old (or the age of majority where you reside), (b) hold or be seeking a professional license/credential relevant to the courses you enroll in, and (c) complete the registration process by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
4. Attendance & Location Verification
Conferences begin at a designated time and date and are streamed via personal devices. You agree to log in only when physically present in the designated destination and to truthfully attest to your presence. Circuit CE may employ geolocation, IP verification, or onsite Wi‑Fi checks to validate location. Fraudulent attendance claims constitute a material breach of these Terms and may result in denial of credit, removal from the event, and potential legal action.
5. Payments & Fees
Courses are offered on a pay‑per‑session or pay‑per‑course basis. All fees are listed in U.S. dollars and must be paid in full at the time of purchase using an accepted payment method. Prices are subject to change without notice until you complete checkout. Taxes and payment‑processor fees (if any) are your responsibility.
5.1 No Refunds; Rescheduling Assistance
All sales are final. If you are unable to attend a paid session due to circumstances such as severe illness, family emergency, or natural disaster, email us at support@circuitce.com within seven (7) days. We will work with you in good faith to reschedule your participation at a future session, subject to availability, but cannot guarantee specific dates or locations.
6. User Conduct
You agree to use the Service for its intended educational purpose and to comply with all applicable laws and professional regulations. You will not:
- Provide false or misleading information during registration, attendance attestation, or evaluations;
- Record, live‑stream, reproduce, distribute, or create derivative works from any session content without prior written authorization;
- Harass, threaten, or interfere with other Participants, speakers, or staff;
- Attempt to gain unauthorized access to systems, accounts, or data;
- Introduce malware or engage in activity that disrupts the Service.
7. Intellectual Property
All content on the Service—including text, graphics, images, videos, AI‑generated avatars, audio, trademarks, service marks, logos, and software"d or licensed by Circuit CE and is protected by U.S. and international copyright, trademark, patent, and other laws. Circuit CE grants you a limited, non‑exclusive, non‑transferable, revocable license to access and view Content solely for personal noncommercial educational use in accordance with these Terms. No other rights are granted.
8. Disclaimers
- Educational Purposes Only. The Service is provided for continuing education. Content does not constitute medical, legal, tax, or other professional advice. For advice on specific matters you must consult a qualified professional.
- No Warranty. The Service is p"rranties of any kind, express or implied, including but not limited to accuracy, completeness, merchantability, fitness for a particular purpose, or non‑infringement.
- Technology. Circuit CE strives for uninterrupted Service but does not guarantee that streaming, platform access, or course availability will be uninterrupted or error‑free. Participants are responsible for their own equipment and internet connection.
- Tax Matters. Statements regarding tax deductibility are for general informational purposes only. You should consult a tax professional regarding your individual situation.
9. Limitation of Liability
To the maximum extent permitted by law, Circuit CE and its affiliates, officers, directors, employees, agents, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages. Circuit CE’s total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid to Circuit CE for the session(s) giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Circuit CE and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to (a) your breach of these Terms, (b) your misuse of the Service, or (c) your violation of any law or the rights of a third party.
11. Modifications to the Service and Terms
Circuit CE reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without liability. We may also revise these Terms from time to time. We will post the updated Terms with a “Last updated” date. Your continued use of the Service after such changes constitute your acceptance of the revised Terms. If you do not agree, you must stop using the Service.
12. Governing Law & Dispute Resolution
These Terms and any dispute arising hereunder are governed by and construed in accordance with the laws of the State of Wyoming, U.S.A., without regard to conflicts‑of‑law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration conducted by a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will take place in Cheyenne, Wyoming, unless the parties agree otherwise. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

14. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any additional written agreements between you and Circuit CE relating to specific services, constitute the entire agreement between you and Circuit CE regarding the Service and supersede all prior and contemporaneous agreements, proposals, or communications, whether oral or written.
